Money Movement and Payments Addendum

This Money Movement and Payments Addendum (“Payments Addendum”) forms part of the Terms and Conditions (the “Agreement”) between MMALI Financial Services LLC, doing business as WagePress (“WagePress,” “we,” “us”) and the customer entity (“Customer,” “you”) using WagePress payment or funds-movement features.
This Payments Addendum applies only if Customer uses payment, disbursement, debit, credit, or funds-movement functionality offered through the Services.
1. ROLE OF WAGEPRESS
- WagePress is a financial technology platform, not a bank, money transmitter, or payment network.
- WagePress does not hold customer funds.
- WagePress does not provide banking services.
- WagePress facilitates payment functionality through third-party financial institutions and payment service providers, including Moov Financial, Inc. (“Moov”) and its partner banks.
- All payment services are provided by Moov and/or its banking partners under their respective agreements.
2. THIRD-PARTY PAYMENT PROVIDERS
By enabling payment features, Customer authorizes WagePress to:
- Share required Customer information with Moov and other payment providers;
- Act as a technical facilitator for payment instructions;
- Transmit payment-related data necessary to initiate transactions.
Customer’s use of payment services is subject to:
- Moov’s terms, policies, and compliance requirements;
- Applicable banking, ACH, card network, and payment rules.
WagePress is not responsible for acts or omissions of payment providers or financial institutions.
3. AUTHORIZATION TO INITIATE TRANSACTIONS
Customer authorizes WagePress and its payment providers to:
- Debit and credit designated bank accounts;
- Initiate ACH transactions, including payroll disbursements, tax payments, contractor payments, and fee withdrawals;
- Reverse, adjust, or retry transactions as permitted by law and network rules.
Customer represents that it has proper authorization to initiate all transactions and that all payment information provided is accurate.
4. CUSTOMER RESPONSIBILITIES
Customer is solely responsible for:
- Ensuring sufficient funds are available in linked accounts;
- The accuracy of bank account and payment details;
- Obtaining authorization from employees, contractors, and payees;
- Compliance with ACH rules, card network rules, and applicable laws;
- Reviewing transactions prior to submission.
WagePress is not liable for insufficient funds, returned payments, rejected transactions, or incorrect payment instructions provided by Customer.
5. SETTLEMENT, TIMING, AND AVAILABILITY
Payment timing depends on:
- Bank processing schedules;
- ACH or card network rules;
- Cutoff times;
- Holidays and weekends;
- Actions by third-party payment providers.
WagePress does not guarantee:
- Same-day or next-day settlement;
- Availability of funds by a specific date;
- Continuous availability of payment services.
6. RETURNS, REVERSALS, AND ERRORS
Payments may be reversed or returned due to:
- Insufficient funds;
- Invalid account information;
- Unauthorized transactions;
- Compliance or fraud reviews;
- Bank or network errors.
Customer authorizes WagePress and its payment providers to:
- Recover returned funds;
- Debit linked accounts for reversals, fees, or adjustments;
- Suspend payment services if excessive returns or risk indicators occur.
7. FEES AND CHARGES
Customer agrees to pay:
- Transaction fees;
- Return or reversal fees;
- Bank or network-imposed fees;
- Any applicable taxes.
Fees may be debited automatically from Customer’s linked account.
8. COMPLIANCE, FRAUD, AND RISK MANAGEMENT
WagePress and its payment providers may:
- Conduct identity, risk, and compliance reviews;
- Monitor transactions for fraud or suspicious activity;
- Delay, block, or reject transactions as required by law or risk policies;
- Suspend or terminate payment access if Customer presents elevated risk.
Customer agrees to provide information reasonably requested for compliance purposes.
9. TAX PAYMENTS AND WITHHOLDINGS
If Customer uses payment features to remit taxes:
- Customer remains solely responsible for the accuracy, timeliness, and completeness of tax payments;
- WagePress does not guarantee acceptance or posting by tax authorities;
- Government processing delays are outside WagePress’s control.
10. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- WagePress is not liable for payment delays, failures, reversals, or losses caused by banks, payment networks, Moov, or third parties;
- WagePress is not liable for indirect, incidental, or consequential damages related to payment services;
- WagePress’s total liability related to payment services is subject to the limitation of liability in the Terms and Conditions.
11. SUSPENSION AND TERMINATION OF PAYMENT SERVICES
WagePress may suspend or terminate payment functionality if:
- Required by Moov or banking partners;
- Customer violates this Payments Addendum or applicable laws;
- Excessive returns, chargebacks, or fraud occur;
- Fees remain unpaid.
Suspension of payment services does not terminate the overall Agreement unless stated otherwise.
12. MODIFICATIONS
Payment services and providers may change. WagePress may update this Payments Addendum to reflect changes in payment partners, laws, or network rules.
13. INCORPORATION AND PRECEDENCE
This Payments Addendum is incorporated into and governed by the Terms and Conditions.
If there is a conflict, this Payments Addendum controls only with respect to payment and money movement matters.
